These Terms of Engagement define the basis upon which Sentivery provides advisory, governance and delivery coordination services.
They apply to all formal engagements unless otherwise agreed in writing between Sentivery and the Client.

Sentivery provides independent advisory, delivery governance, coordination and oversight services. Engagements may include project-based advisory, programme governance, independent review and assurance, or ongoing strategic support.
Unless explicitly stated in writing, Sentivery does not assume responsibility for construction execution, contractor performance, regulatory approvals, third-party deliverables, or operational implementation.
All services are advisory in nature and intended to support informed decision-making by the Client.

3. Client Responsibilities
The Client retains ultimate responsibility for decisions, approvals and implementation.
• Provide accurate, complete and timely information
• Ensure appropriate access to relevant stakeholders
• Maintain clear internal decision-making authority
• Review and approve deliverables within agreed timeframes
The Client shall:
Sentivery is entitled to rely on information provided by the Client and its appointed representatives.
4. Independence and Professional Judgment
Sentivery operates independently and provides impartial advice based on professional judgment, experience and the information available at the time of engagement.
Recommendations are advisory and do not replace the Client’s executive, legal, financial or regulatory responsibilities.
5. Fees and Payment Terms
Fees, invoicing arrangements and payment terms are defined in the applicable engagement agreement.
Unless otherwise agreed in writing, invoices are payable within the agreed payment period stated in the relevant contract.
6. Confidentiality
All information received in the course of engagement shall be treated as confidential and used solely for the purpose of delivering agreed services.

7. Limitation of Liability
To the fullest extent permitted by applicable law, Sentivery’s liability in connection with any engagement shall be limited to the total fees paid under the relevant engagement agreement.
Sentivery shall not be liable for indirect, consequential, incidental, or third-party losses arising from the use of its advisory services.
Nothing in these Terms excludes liability for wilful misconduct or gross negligence where such limitation is prohibited by law.
8. Governing Law
These Terms of Engagement shall be governed by and interpreted in accordance with the laws of the Republic of Lithuania, unless otherwise agreed in writing.
9. Amendments
Any amendment or modification to these Terms of Engagement must be agreed in writing by both parties.
